Terms of Service
Version 1 · Effective [EFFECTIVE DATE]
Imprezzi is a place to find events, host them, show up, and build a record of doing so. These terms are the agreement between you and us. They are written to be read, so please do. Some of it limits what we are responsible for, and one section asks you to accept the risks of meeting people in person.
1. Who we are, and what this covers
Imprezzi is operated by Imprezzi Inc., a corporation incorporated under the Canada Business Corporations Act. In these terms, "Imprezzi", "we", "us" and "our" mean Imprezzi Inc., and "you" means the person using the service.
The Services are the Imprezzi mobile app, the Imprezzi website, and the programming interfaces behind them, together with everything we offer through them.
Our Privacy Policy explains what personal information we collect and what we do with it. It forms part of these terms. By using the Services you agree to both. If you do not agree, do not use the Services.
These terms replace any earlier terms or conditions we published for Imprezzi.
2. Eligibility
- You must be at least 18 years old. Where the law where you live sets a higher age for entering into an agreement like this one, that higher age applies to you.
- You confirm you meet the age requirement when you register, and we check it against the location we resolve for you at that time.
- One account per person. Do not create an account for someone else, or on behalf of a business as though it were a person.
- You may not use the Services if we have previously suspended your account, or if the law where you are prohibits you from doing so.
3. Your account
- Give us accurate information and keep it current. Your name, birth date and gender affect what events you can join, because hosts can set rules about who may attend.
- Sign-in is handled by Google Firebase Authentication. Keep your credentials to yourself; you are responsible for activity under your account.
- Some features require a verified email address, including creating an organization and accepting an organizer invitation.
- Tell us promptly at admin@imprezzisocials.com if you think someone else has access to your account.
- We may suspend or close an account that was created with false information, or that belongs to someone below the age requirement.
4. Acceptable use
There is no tolerance for objectionable content or abusive users on Imprezzi. You agree not to post content or behave in a way that is unlawful, hateful, harassing, threatening, sexually explicit, exploitative of children, defamatory, deceptive, or that promotes violence or self-harm. You agree not to do any of the following:
- Harass, threaten, stalk, impersonate or intimidate anyone, on Imprezzi or at an event you found through it.
- Post someone else's personal information, images of them, or private messages without their permission.
- Post content you do not have the rights to post.
- Create an event you do not intend to run, or a listing that misrepresents what will happen, who is hosting, where it is, or what it costs.
- Manipulate the social score, including trading impressions, arranging false attendance confirmations, or using more than one account to influence a score.
- Interfere with the Services, probe or test their security, bypass a limit or a gate, or reverse engineer any part of them except to the extent the law says you may.
- Use the Services to send unsolicited commercial messages, or for any purpose other than the one they are offered for.
Automated access
Search engines may crawl our public pages as our robots.txt permits. Everything else
is prohibited without our written permission, specifically:
- scraping, indexing or otherwise collecting in bulk any information about people, events, locations or scores;
- automated access to parts of the Services that require signing in, or to our programming interfaces;
- using content from the Services to build a dataset, or to train or fine-tune a machine learning or artificial intelligence model;
- creating accounts by automated means.
5. Reporting, moderation and enforcement
You can report an event, a person, an organization or a message in a discussion from inside the app, and you can block someone so that you no longer see each other.
We review reports of objectionable content and abusive behaviour within 24 hours. Where a report is founded, we remove or hide the content, or suspend the person or organization responsible. Reports about risk to a child are treated as the most urgent thing in the queue.
When we act on a report, we may do any of the following: take no action; keep the matter open and watch it; warn the person or organization; hide or remove content; or suspend an account, an event or an organization.
What a suspension does. A suspended account cannot sign in. The person is hidden from other users, is removed from events they had joined, and events they were hosting are cancelled. Roles they held are revoked. Records of what they did before the suspension, such as attendance other people can see, are not erased, and their profile and history are retained rather than deleted so we can review the decision later.
Paid spots are not refunded by us when an attendance ends this way. See section 10.
We do not tolerate retaliation against someone for making a report in good faith. Reporting in bad faith, or repeatedly reporting content that turns out to be fine, is itself a breach of these terms.
If you think a decision about your account was wrong, write to admin@imprezzisocials.com. A person will read it. We do not operate a formal appeals process, and we are not obliged to reverse a decision.
6. SAFETY, RISK AND RELEASE
Please read this section carefully. It limits what we are responsible for.
Imprezzi helps people find each other and meet in person. That carries real risk, and we cannot remove it.
- We do not run events. Events are created and run by their hosts. We do not attend, supervise, inspect venues, or check that an event is safe, lawful, insured or suitable for you.
- We do not screen users. We do not conduct background checks, criminal record checks or identity verification. Photo verification confirms that a profile photo is of a real person taking it at that moment. It is not an identity check.
- A social score is not a safety rating. It measures participation and reliability on Imprezzi, as described in section 7. It is not an endorsement of anyone's character, honesty or safety, and it must not be relied on as one.
- You are responsible for your own decisions. Meet in public where you can, tell someone where you are going, and leave if you feel unsafe. In an emergency, contact your local emergency services first.
Assumption of risk and release. You accept the risks of using the Services and of attending or hosting events, including the conduct of other people, injury, illness, loss or damage to property, and events that are cancelled, changed or not as described. To the fullest extent the law allows, you release Imprezzi from all claims arising out of an event, or out of another user's conduct, whether the event was found through Imprezzi or not.
This release does not apply to liability caused by our own gross negligence or wilful misconduct, and it does not apply where the law does not permit it. In particular, nothing here excludes liability for bodily or moral injury where that exclusion is prohibited, including under the Civil Code of Quebec.
7. The social score
Your social score is a number between 0 and 100 built from two things: what you do on Imprezzi, and what other attendees record about meeting you.
The factors that move it are the ones shown in the score guide in the app:
- completing your profile, and verifying your profile photo;
- having a host confirm that you actually attended an event you reserved;
- not showing up after reserving a spot, which costs you points;
- giving impressions to other attendees after an event;
- the impressions other attendees give you, which may be positive, neutral or negative;
- time, because points and penalties both fade, so recent activity counts for more.
Impressions are anonymous. They can only be given by people who attended the same event as you, only after it has ended, and we do not tell you who gave which impression. We do not disclose that to the person rated, because doing so would make honest feedback unsafe to give.
What we keep confidential is how much each factor is worth and how the number is calculated. The weights and the formula are ours, and they are not disclosed. The factors above are not confidential, and we will not refuse to tell you what goes into your score.
Hosts can require a minimum score. Where a host has set one, a reservation request is refused automatically if your score is outside the range they set. That decision is made by software, without a person looking at it.
If you believe your score is wrong, or that you were wrongly refused a spot, write to admin@imprezzisocials.com with the details. A person will review it, will tell you what information was used, and will correct anything that is factually wrong. We do not guarantee that a score will be changed.
A score is for use inside Imprezzi. It is not a credit score, a reference, a certification or a qualification, it confers no rights outside the Services, and we do not guarantee that it is accurate or that it will stay available.
8. Hosting events
The person who creates an event is the Host. A Host can invite other organizers, and can appoint one of them as head organizer to run the event on their behalf. Whoever holds a role, the Host remains responsible for the event, and every organizer is responsible for what they themselves do and publish on it.
If you are a Host, you agree that:
- your listing is accurate about what the event is, where and when it happens, who is running it, what it costs, and any conditions of entry;
- you have the right to use the venue, and you hold any permit, licence or insurance the event requires;
- the event, and the way you run it, complies with the law, including health, safety, alcohol, accessibility and human rights law;
- you will tell your attendees promptly if the event changes or is cancelled, and you will honour what you promised them;
- you will not use the Services to run anything unlawful, or anything materially different from what you listed.
Rules about who may attend
Imprezzi lets you limit a spot by capacity, by social score band, and by gender, and lets you pool a waiting list. Those are tools, and you decide how to use them.
You are responsible for the rules you set. You warrant that your attendance criteria are lawful where the event takes place, and you will indemnify us for any claim, complaint or proceeding arising from them, including under human rights or anti-discrimination law. We do not advise on whether a rule is lawful, and making a tool available is not advice that using it is lawful in your circumstances.
Attendee information
Attendees see that a Host can see their name and email address. When you view or export your attendee list, you receive their names, email addresses, and the times they joined, reserved and checked in. That is personal information about other people, and you agree that you will:
- use it only to run that event, which includes logistics, changes, cancellation and any follow-up needed for safety;
- not add anyone to a mailing list, and not send them marketing or promotion for your other events unless that person gave you their consent directly for that purpose;
- not sell, publish, share or transfer it to anyone else;
- keep it secure, and delete it once the event no longer needs it;
- comply with the privacy and anti-spam law that applies to you, including Canada's anti-spam legislation, and deal promptly with a request from an attendee about their own information.
Check-in codes identify an attendee's reservation. Do not scan, copy or use them for anything other than admitting that person to your event.
9. Selling tickets
A Host may charge for spots at an event. If you do:
- You are the seller and the merchant of record. The contract for the ticket is between you and the buyer. Imprezzi is not a party to it, does not sell tickets, and does not hold the money.
- Payments run through Stripe to your own connected Stripe account. Stripe's terms, including its Connected Account Agreement, govern that account and its fees. You must keep the account in good standing and accurate.
- Refunds, cancellations and disputes are yours to handle, along with any obligation you have to your attendees under consumer protection law. If you cancel an event, or change it materially, you are responsible for making that right with the people who paid.
- Taxes are yours, including charging, collecting, reporting and remitting whatever applies to your sales.
- You will indemnify us for claims arising from your event, your sales, or your handling of refunds and attendee information.
We charge no platform commission on ticket sales today. We reserve the right to introduce a platform fee, to change how and when connected accounts are paid out, to hold or delay a payout while a dispute or a report is open, and to set limits on ticket prices or on the total value of an event's sales. We will tell you before a fee or a payout change applies to you.
We may refuse or stop ticketing for an event, or for a seller, including where a report is open, where chargebacks or refunds are unusual, or where we believe the law requires it.
10. Buying tickets
- You are buying from the Host, not from Imprezzi. The Host sets the price and any refund policy. Your claim for a refund is against the Host, and if that fails, through your card issuer or Stripe.
- Imprezzi does not issue refunds for tickets, because we never received the money.
- A paid attendance can end in several ways. You may leave the event. You lose your spot if you report that event or the organization running it, or if you block its Host. Your spot also ends if your account is suspended, or if the event is cancelled or removed. In every one of those cases we do not refund anything, and whether you get your money back is between you and the Host.
- Where an attendance is at risk because of something you are about to do, the app warns you before you commit.
Nothing in this section limits rights you have under consumer protection law that cannot be limited by agreement.
11. Credits, allowances and paid features
Hosting an event, using advanced event tools, and creating an organization each consume an allowance. Every account gets a free allowance that renews each period, plus a one-time credit for creating an organization. The current allowances and what they cover are shown in the app and may change.
Credits can be bought from Imprezzi. When you buy them:
- a credit is a limited licence to use a feature, not property. It has no cash value, cannot be transferred, sold or exchanged for money, and does not expire;
- credits are not refundable, except where the law requires it;
- a credit spent on hosting an event comes back to the balance it came from if the event is cancelled. A credit spent on creating an organization does not come back, even if the organization is later deleted;
- if a payment is refunded or charged back, we reverse the credits it bought. If they have already been spent, the balance can go below zero, and you cannot spend credits again until it is back to zero;
- unused credits are forfeited if your account is closed or deleted;
- your free allowance is used before credits are.
We reserve the right to offer paid subscriptions, to change prices, allowances and what each tier includes, and to charge for features that are free today. Where a change affects something you have already paid for, we will tell you before it takes effect. Prices are in the currency shown at the time of purchase, and taxes may be added.
12. Organizations
An organization is a shared identity that hosts events. The member who creates it is its admin.
- The admin is responsible for the organization's profile, its name and image, and who is invited, admitted or removed.
- If you post an event under an organization, you warrant that you are authorized to use that organization's name for it, and you remain the Host of that event under section 8.
- Money for a paid event goes to the Host's own connected Stripe account, not to the organization. Imprezzi does not hold organization funds and takes no part in how the people behind an organization divide money or responsibility between themselves.
- Do not use a name, logo or description that misrepresents who you are, or that you do not have the right to use.
- We may suspend an organization, which hides it and cancels its events, under section 5.
13. Your content, and who sees it
Content means anything you post or upload: your profile and photo, event listings and images, messages in event discussions, questions, feedback and impressions.
You keep ownership of your Content. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, adapt for display, and show your Content for the purpose of operating and improving the Services. That licence is sublicensable only to the providers that run the Services for us, such as our hosting, storage, email and payment providers, and only for that purpose. It lasts as long as we need it to operate the Services and to keep lawful records.
We will not use your Content in advertising or promotion without asking you first.
Who can see your Content depends on the event. The old version of these terms said posted images are public. That was wrong, and this is how it actually works:
- Publicly listed events are discoverable by anyone, including people who are not signed in. What a visitor who is not signed in can see is deliberately limited, and exact locations and attendee identities are not part of it.
- Link-only events are not searchable, but anyone holding the link can open them. Treat the link as the key.
- Invitation-only events are visible only to the people invited.
- Drafts are visible only to you and your organizers.
- Event discussions are visible to the people who can see that event.
You are responsible for your Content, and you confirm you have the rights you need to post it.
We may remove or refuse Content, hide an event, or withhold a feature, where we believe these terms have been breached, where we are required to, or where doing so protects people using the Services. We are not obliged to review Content before it is posted, and we do not.
Content you shared into a space other people can see, such as an event discussion, does not disappear from that space when you delete your account. See section 17.
14. Events from other sources
Some listings on Imprezzi describe events published by someone else, gathered from public sources such as a city's or a venue's own listings. They are marked as such and link to where they came from.
- We do not host, organize, check or endorse those events. We are not their organizer and have no relationship with them.
- Details may be incomplete, out of date or wrong. Confirm with the original source before you go.
- The summaries are written by us. Facts such as dates, times and venues come from the source, which retains any rights in its own material.
- You cannot reserve a spot or buy a ticket for one of these events through Imprezzi.
- If you are the organizer of a listed event, or hold rights in a listing, write to admin@imprezzisocials.com and we will remove it. We can also stop gathering from a source entirely.
15. Copyright complaints
If you believe Content on the Services infringes your copyright, send a notice to our agent at the address in this section, including all of the following:
- your physical or electronic signature;
- identification of the work you say has been infringed;
- identification of the material you say is infringing, and enough detail for us to find it, such as a link;
- your name, address, telephone number and email address;
- a statement that you believe in good faith that the use is not authorized by the copyright owner, its agent, or the law;
- a statement that the information in your notice is accurate and that, under penalty of perjury, you are the owner or authorized to act for the owner.
We remove or disable material that is the subject of a valid notice, and we tell the person who posted it. Where the law of their country requires us to pass the notice on to them rather than remove the material, we do that instead.
Counter-notice. If your material was removed and you believe that was a mistake or a misidentification, you can send a counter-notice with your signature, identification of the material and where it was, a statement under penalty of perjury that you believe in good faith it was removed by mistake, and your name, address and telephone number together with your consent to the jurisdiction of a court where you live or, if you are outside the United States, of the courts of Ontario, Canada. We may restore the material between 10 and 14 business days after we receive it, unless the person who complained tells us they have gone to court.
Sending a notice or a counter-notice that is knowingly false can make you liable for damages.
We terminate the accounts of repeat infringers.

16. Notifications and communications
- Service messages are part of the product. Email and push notifications about your account, your reservations, events you joined or host, invitations, reminders, cancellations, payments and enforcement decisions are sent because you use the Services. They are not marketing and cannot be switched off entirely, though the app lets you choose channels for many of them.
- Marketing is separate and optional. Newsletters, announcements and event promotion are sent only if you agreed to them, which is a separate choice at registration that never affects whether you can register. You can withdraw that consent at any time, in the app or by using the unsubscribe link, and we keep a record of consent given and withdrawn.
- Notices we are required to give you may be sent to the email address on your account, or shown in the app.
17. Ending the agreement
You can stop using the Services at any time, and you can delete your account from the app.
What deleting does. Your profile, settings, notifications, attendance record, social score and impression history are erased, and the photos you uploaded are deleted from our storage.
What remains, and why.
- Messages you posted in event discussions stay in those discussions, because they are part of a conversation other people took part in.
- Other people's records of events you both attended remain, showing a deleted account rather than your name.
- An attendee list a Host already exported is in that Host's hands, subject to their obligations in section 8.
- Reports you filed, and reports about you, are retained so that we can keep enforcing against abuse.
- The record that you accepted these terms and any marketing consent is retained, because we have to be able to prove it.
- If your account was suspended, we retain enough to recognise it, so that a suspension cannot be escaped by deleting and re-registering.
- Unused credits are forfeited.
The Privacy Policy gives the detail, including how long we keep things.
We may suspend or close your account, or stop offering the Services to you, if you breach these terms, if we are required to, or if we reasonably believe it is necessary to protect other people. Where it is reasonable to do so, we will tell you why.
Sections that by their nature should continue after this agreement ends do continue, including 6, 13, 19, 20 and 23.
18. Changes to these terms
We may change these terms. Each version has a number and an effective date, and earlier versions stay available at their own permanent address.
- For a material change, we will ask you to accept the new version before you continue using the Services, and we will say what changed. If you would rather not accept, you can stop using Imprezzi and delete your account.
- For a minor change, such as a clarification or a correction, we will publish the new version and tell you in the app or by email. Continuing to use the Services after that means you accept it.
19. Disclaimers and limitation of liability
The Services are provided "as is" and "as available". To the fullest extent the law allows, we exclude all warranties, conditions and representations that are not expressly set out in these terms. In particular, we do not warrant that:
- the Services will be uninterrupted, timely, secure or error free;
- information about an event, including one gathered from another source, is accurate, complete or current;
- a social score is accurate, or that any part of the Services will remain available;
- anyone you meet is who they say they are, or that an event will be as described.
We are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or opportunity, however caused.
Our total liability to you, for all claims taken together and arising out of or in connection with these terms or the Services, is limited to the greater of CAD $100 or the total amount you paid Imprezzi Inc. in the 12 months before the claim arose. Money you paid to a Host for a ticket was never paid to us and does not count toward that amount.
These limits do not apply to liability that cannot be limited or excluded by law, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit. Nothing in these terms limits or excludes rights you have as a consumer under legislation such as Ontario's Consumer Protection Act or Quebec's Consumer Protection Act where those rights cannot be limited by agreement.
20. Indemnity
You agree to indemnify and hold harmless Imprezzi Inc., its directors, officers and employees, from any claim, demand, loss, liability, cost or expense, including reasonable legal fees, arising out of or in connection with: your use of the Services; your Content; an event you host, including the attendance criteria you set and how you handled attendee information; a ticket you sold; your breach of these terms; or your breach of the law or of anyone else's rights.
21. Events outside our control
We are not liable for delay or failure to perform caused by something beyond our reasonable control, including natural events, power or network failure, a failure of a provider we depend on, cyber attack, labour dispute, epidemic, or an act of government.
22. Governing law and disputes
- These terms, and any dispute arising from them or from the Services, are governed by the laws of the Province of Ontario and the laws of Canada that apply there, without regard to conflict of laws rules.
- The courts of Ontario have jurisdiction, and you agree to bring any claim there. If the law where you live gives you the right to bring a claim in your own local court, that right is not affected.
- Talk to us first. Before starting a proceeding, please write to admin@imprezzisocials.com describing the problem and what you want, and we will try to resolve it with you. This is a request, not a precondition, and it does not stop either of us going to court.
- There is no mandatory arbitration in these terms, and nothing here waives your right to take part in a class proceeding where the law gives you one.
23. General
- Language. These terms may be published in other languages for convenience. If there is a difference in meaning, the English version governs.
- Entire agreement. These terms and the Privacy Policy are the whole agreement between you and us about the Services, and replace anything said or written before.
- Severability. If part of these terms is unenforceable, the rest still applies, and that part applies to the greatest extent the law allows.
- No waiver. If we do not enforce something straight away, we have not given up the right to enforce it later.
- Assignment. You may not transfer your rights under these terms. We may transfer ours to an affiliate, or as part of a merger, sale or reorganization, provided your rights are not reduced.
- No agency. These terms do not make either of us the other's partner, agent, employee or joint venturer. Hosts, organizers and organizations are not our agents or employees.
- Third party services. Parts of the Services rely on providers with their own terms, including Google Firebase, Google Maps and Stripe, and your use of those parts is also subject to those terms. Google Maps content is subject to Google's terms and privacy policy.
- Notices. Send legal notices to admin@imprezzisocials.com, or to Imprezzi Inc. at the address in section 25. We may send notices to the email address on your account.
24. Schedule A: app store terms
These terms apply when you install the Imprezzi app from an app store, and they are in addition to the rest of this agreement. Where they conflict with the rest of this agreement for that installation, these apply.
Apple App Store
- This agreement is between you and Imprezzi Inc. only, not Apple. Imprezzi, not Apple, is solely responsible for the app and its content.
- Your licence to use the app is a non-transferable licence to use it on any Apple-branded device you own or control, as permitted by the App Store Terms of Service.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. To the maximum extent the law allows, Apple has no other warranty obligation, and any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are Imprezzi's responsibility.
- Imprezzi, not Apple, is responsible for addressing any claim by you or a third party relating to the app or your possession or use of it, including product liability claims, claims that the app fails to conform to a legal or regulatory requirement, claims under consumer protection or similar legislation, and claims that the app infringes a third party's intellectual property rights.
- You represent that you are not located in a country subject to a United States Government embargo or designated as a terrorist supporting country, and that you are not on any United States Government list of prohibited or restricted parties.
- You must comply with any applicable third party terms of agreement when using the app.
- Apple and its subsidiaries are third party beneficiaries of these app store terms, and have the right to enforce them against you.
Google Play
- This agreement is between you and Imprezzi Inc. only, not Google. Imprezzi, not Google, is solely responsible for the app and its content, and for support, claims and any refunds beyond those Google Play's own terms provide.
- Your use of the app obtained from Google Play is also subject to the Google Play Terms of Service.
